WSS Rewards Program Membership Terms & Conditions

1. Introduction

1.1 Welcome to the Eurostar, Inc. d/b/a WSS (“WSS”) WSS Rewards Program (the “WSS Rewards Program”), a loyalty program through which you (“you” or “Member”) can earn and redeem points (“Points”) for rewards that may be offered by WSS from time to time (“Rewards”). Membership in the WSS Rewards Program is free of charge. The WSS Rewards Program operates under the terms and conditions set forth below (the “WSS Membership Terms and Conditions”) unless otherwise expressly stated.

1.2 Membership in the WSS Rewards Program is open to (i) residents of the United States and its territories (American Samoa, Guam, Northern Mariana Islands, Puerto Rico, and the United States Virgin Islands), and the Federated States of Micronesia, the Marshall Islands, and Palau (together defined as the “United States”) who are 13 years of age or older, (ii) who intend to use the WSS Rewards Program for their own personal, family or household purposes, and not for resale of WSS products or other commercial purposes, and (iii) who have a valid email account and mobile phone number with a +1 dialing code. Except where explicitly permitted in writing by WSS, employees of WSS and its affiliates cannot participate in the WSS Program.

1.3 By registering for the WSS Rewards Program, you agree to be bound by these WSS Membership Terms and Conditions and the website Terms of Use and Privacy Statements. You may not register if you do not agree to these terms or if you do not meet the eligibility requirements. WSS reserves the right to decline to allow you to participate in the WSS Rewards Program at any time in its sole discretion for any reason, including if it has cause to believe you do not meet these eligibility requirements or if your participation would violate these WSS Membership Terms and Conditions, any restrictions or limitations that WSS places on purchases, orders, reservations, or offers, or the WSS Membership Terms and Conditions of any other offers or programs offered by WSS. Further detail on the WSS Rewards Program can be found in the FAQs. In the case of any conflict between the applicable FAQ and these WSS Rewards Program Membership Terms and Conditions, these WSS Rewards Program Membership Terms and Conditions shall govern.

2. MEMBERSHIP

2.1 You may enroll in the WSS Rewards Program either: (a) online via (i) www.shopwss.com or (ii) the WSS Rewards app, or; (b) at participating WSS retail stores. Upon the completion of your enrollment, you will be assigned a WSS Rewards membership number. PLEASE NOTE: The country and area codes assigned to your mobile phone number must be valid and correspond to the country in which you are enrolling, whether such enrollment is online or at a participating retail store. You may be required to validate your mobile phone number as part of the online membership enrollment process.

2.2 To access and manage your WSS Rewards Program benefits, you must log into your WSS Rewards Program account (your “Account”). PLEASE NOTE: For online enrollments, you will be prompted to create a password for your Account as part of the enrollment process. You can use your Account to track your participation in the WSS Rewards Program and redeem your points for Sneaker Bucks™ Rewards. You are responsible for maintaining the security of your Account, and you are responsible for all activities that occur under your Account. If you believe your Account has been compromised at any time, you are responsible for notifying us immediately by contacting Customer Service at 844-SHOP-WSS (844-746-7977) or help@shopwss.com. As a WSS Rewards Program member, you are responsible for ensuring that your information is current and accurate by updating such information as necessary in your account settings or by contacting Customer Service at 844-SHOP-WSS (844-746-7977) or help@shopwss.com.

2.3 There is a limit of: (a) one (1) Account per person; (b) one (1) Account per mobile phone number; and (c) one (1) Account per email address. Accounts may only be used by individuals – they cannot be used by companies, groups, or organizations – and they cannot be shared or transferred. Accounts are only for personal and non-commercial use. They cannot be used to make bulk purchases or purchases that will be used for resale. Should WSS reasonably suspect a WSS Rewards Program member Account of fraud, misrepresentation, abuse or of being in violation of these WSS Membership Terms and Conditions (e.g., using the WSS Rewards Program for reselling products or commercial use), WSS reserves the right to immediately deactivate or terminate the Account in question, including the forfeiture of all accumulated Points, without notice.

2.4 If we need to communicate with you about the WSS Rewards Program, we’ll send a message to the email address associated with your WSS Rewards Program Account. If your email address or other contact information changes after you register, you are responsible for promptly updating your Account by contacting Customer Service at 844-SHOP-WSS (844-746-7977) or help@shopwss.com.

2.5 We may also send you promotional emails and SMS messages related to the WSS Rewards Program. You may opt-out of promotional emails by following the instructions in the emails. However, please note that you will continue to receive emails related to your membership and purchases. While you are not required to opt-in to receive promotional communications via SMS in order to participate in the WSS Rewards Program, Members who elect to opt-in acknowledge that WSS or its designee may send commercial text messages using automated technology and consent to that type of contact. Wireless service charges may apply. You may opt-out of promotional SMS messages by following instructions in the messages. However, please note that you will continue to receive SMS messages related to your membership and purchases if you provide a mobile phone number when signing up for the WSS Rewards Program.

3. POINTS

3.1 You earn one (1) Point for every one US dollar ($1 USD) spent in WSS retail stores, online at www.shopwss.com and/or via the WSS app. You may not attempt to earn Points in a manner that is not expressly permitted in these WSS Membership Terms and Conditions, such as through the use of a script, bot, or other automated means.

3.2 For physical in-store purchases, your WSS Rewards membership number, your associated email address, or mobile phone number must be presented at time of purchase to receive points. For online purchases, you must be logged into your Account via www.shopwss.com or the WSS Rewards app at the time of checkout to receive points.

3.3 Points will typically be posted to your Account within one (1) week. To see how many Points you have in your Account, you can: (i) log in to your Account at any time either online at www.shopwss.com or the WSS app; (ii) ask a retail store team member to check your balance; and/or (iii) review your printed receipt after completing a transaction in a retail store. You are responsible for ensuring that the Points balance in your Account is correct. If you believe that you did not receive Points or there is some other error in your Account, you must contact us by calling Customer Service at 844-SHOP-WSS (844-746-7977) or emailing help@shopwss.com within thirty (30) days of the date of your in-store purchase or the date your order shipped. We will investigate any issues, but WSS’s good faith determination of the number of Points available to any Member shall be final and binding.

3.4 Points that are not redeemed expire 365 days after they are earned.

3.5 Except as expressly stated in these WSS Membership Terms and Conditions or otherwise by the WSS Rewards Program, Points cannot be earned on purchases made prior to enrollment or on purchases of gift cards.

3.6 The Points earned on the purchase of an item will be deducted from your Account if you return the item or cancel the order. If there are insufficient Points available in your Account, the return or cancellation may result in a negative Point balance. Subsequent purchases will be applied to the negative balance.

3.7 The Points you earn are promotional only, have no cash value, and do not constitute your property of any kind. You cannot sell, barter, or transfer your Points or combine them with another member’s Points. Once you redeem Points for a Reward, the redemption cannot be reversed and is final. Rewards cannot be returned to WSS.

3.8 Earned Points may be redeemed at checkout by (i) logging into your Account via www.shopwss.com; (ii) logging into your WSS mobile app; or (iii) verifying your Account in store. Please note that the Rewards for which you can redeem points may change at any time and may vary by region. Any and all Member benefits in the WSS Rewards Program are subject to change at any time without notice and may vary by region.

3.9 WSS reserves the right to limit a Member’s ability to redeem and earn Points at any time. For example, WSS may place limits on the amount of Points that may be earned or redeemed over a particular time period and may limit the ability of Members to redeem Points for particular products.

3.10 From time to time, WSS, within its sole discretion, may offer promotional opportunities for Members to receive bonus points on select purchases. You will only be awarded additional bonus points if you are eligible for the promotion and have completed the registration process prior to the start of the promotion. PLEASE NOTE: Additional Terms and Conditions may apply to each such bonus points promotion.

4. REWARDS

4.1 Rewards may be subject to additional terms and conditions and limitations, including, for example, a limit to the number of a particular Reward a member can acquire or a limit to the time for accessing the Reward. These additional terms and conditions and limitations will be disclosed in connection with the Reward description and are subject to change in WSS’s sole discretion at any time without notice.

4.2 Rewards may only be available while supplies last, may be limited in quantity, and/or may only be available for a limited time as determined by WSS, in its sole discretion. The Rewards available to members will be selected solely in the discretion of WSS. WSS reserves the right to substitute a Reward item of comparable or greater value at any time, at its sole discretion. Members are responsible for all applicable federal, state, provincial and local taxes as well as any other costs or expenses associated with a Reward.

4.3 WSS is not responsible for any Reward after it has been shipped or emailed or for any Reward that is returned as undeliverable for any reason. Points for those Rewards will not be returned. WSS will not replace any missing or stolen Rewards.

4.4 Members attempting to circumvent these restrictions by means of fraud, creating additional accounts, or other means will be subject to Account termination (including the termination of any accumulated points).

4.5 Sneaker Bucks™ Reward

4.5.1 You can redeem Points for Sneaker Bucks™ Reward(s). Sneaker Bucks™ Reward(s) are promotional in nature, not legal tender, have no cash, exchange or other value except as explicitly provided herein, and no cash back is given. Sneaker Bucks™ Reward(s) can be used only toward the subtotal of a transaction for items purchased either online or at participating retail stores by a Member.

4.5.2 All eligible redemptions must take place at the time of the transaction at checkout. When shopping online, you must sign into your Account to have the opportunity to convert your Points to Sneaker Bucks™ Reward(s), if eligible, for use with your transaction at checkout. If shopping in a participating retail store, ask a retail store team member to verify your Account and to apply your eligible Sneaker Bucks™ Reward(s), if any, at checkout. No Points are earned for the portion of your transaction that uses Sneaker Bucks™ Reward(s).

4.5.3 For every 250 points earned, you can redeem a $10 Sneaker Bucks™ Reward.

4.5.4 PLEASE NOTE:

4.5.4.1 Online Transactions. For online transactions, Sneaker Bucks™ Reward(s) are applied to the subtotal after any other eligible discount, taxes or fees; additionally, the Sneaker Bucks™ Reward(s) total amount must be less than the subtotal after any other eligible promotional offers, taxes or fees are applied. Only up to one (1) other eligible promotional offer can be applied with Sneaker Bucks™ Reward(s) in a single transaction. Additional terms and conditions or exclusions may apply.

4.5.4.2 In-Store Transactions. For in-store transactions, the Sneaker Bucks™ Reward(s) is applied to the subtotal after any other eligible discount, but before taxes or fees; additionally, the Sneaker Bucks™ Reward(s) denomination must be less than the subtotal after any other eligible promotional offers, and before taxes or fees are applied. Only up to one (1) other eligible promotional offer can be applied with Sneaker Bucks™ Reward(s) in a single transaction. Additional terms and conditions or exclusions may apply.

4.5.5 You can check how many Sneaker Bucks™ Reward(s) you are eligible to redeem based on your Points total by: (i) logging into your Account via www.shopwss.com; (ii) logging into your WSS mobile app; or (iii) asking an associate in any WSS retail store.

4.5.6 If you are entitled to a refund of Sneaker Bucks™ Reward(s), that amount will be refunded in the form of Points back to your Account. PLEASE NOTE: Sneaker Bucks™ Reward(s) will be refunded as the number of Points, corresponding to the refunded Sneaker Bucks™ Reward(s) amount, to the original Account from which the Sneaker Bucks™ Reward(s) was applied.

4.5.6.1 If you would like to initiate a full or partial return for a transaction in which Sneaker Bucks™ Reward(s) was applied, the original Account Member whose Sneaker Bucks™ Reward(s) was applied will be refunded with a credit to their Account with the number of Points corresponding to the pro-rated refund of Sneaker Bucks™ Reward(s) that was applied to the returned item(s) in that transaction. In-store returns, for transactions in which Sneaker Bucks™ Reward(s) was applied, cannot be processed as multiple returns and need to be processed separately per transaction.

4.5.7 PLEASE NOTE:

4.5.7.1 You may only use up to five (5) $10 Sneaker Bucks™ Reward(s) (i.e., a total of $50 Sneaker Bucks™ Reward(s)) per transaction.

4.5.7.2 Sneaker Bucks™ Reward(s) cannot be: (i) used with more than one (1) other coupon code (e.g., student discount); (ii) applied by members towards orders placed by a retail store team member (e.g., WSS’s Customer Service team), online reservations/ship to me entries for sneaker releases, taxes, shipping and/or handling or any other applicable fees; (iii) sold, bartered, transferred or exchanged for cash; or (iv) used to purchase gift cards (electronic or physical). Gift cards cannot be included in a transaction in which Sneaker Bucks™ Reward(s) is applied.

5. CHANGES, TERMINATION, OR REMOVAL FROM PROGRAM

5.1 You may deactivate your Account at any time by calling Customer Service at 844-SHOP-WSS (844-746-7977). Deactivating your WSS Rewards Program Account will not affect any other account you may have with the WSS family of companies or email preferences to receive marketing emails from any of the WSS family brands.

5.2 If you deactivate your Account, or if it is deactivated or terminated for any reason, any Points which remain in such Account will be forfeited.

5.3 Subject to applicable law, WSS may, at its sole discretion, terminate, deactivate, alter, limit, suspend, or modify the WSS Rewards Program, and/or these Terms and Conditions, rules, regulations, or benefits at any time, without notice or cause, even though such modifications may affect the ability to earn or redeem points. It is your responsibility to check or review these WSS Membership Terms and Conditions from time to time to keep informed of any changes. However, WSS may, at its discretion, notify members of any material change sixty (60) days in advance of the effective date of any change (or as otherwise required by applicable law). Change notices may be communicated by banner postings within the “My Account” page when you log in online at www.shopwss.com or the WSS app or by emails to members.

5.4 Interpretation of these WSS Membership Terms and Conditions shall be at WSS’s sole discretion. WSS’s failure to exercise or enforce any right or provision of these WSS Membership Terms and Conditions shall not constitute a waiver of such right or provision.

5.5 WSS reserves the right to review Account activity for patterns that fall outside the intended use of the WSS Rewards Program or what is allowed under these WSS Membership Terms and Conditions. WSS may, in its sole discretion, determine any violations.

5.5.1 In case of suspected fraud, misrepresentation, abuse, or violation of these WSS Membership Terms and Conditions, WSS reserves the right to take appropriate administrative and/or legal action, including the termination of your WSS Rewards Program membership. In such cases, you may lose any points you had accumulated.

5.5.2 If for two (2) consecutive years you have neither made any purchases, redeemed any points, nor completed any returns that are connected to your Account at the time of such purchase, redemption, or return, WSS reserves the right to deactivate your Account for inactivity. Once your Account is deactivated, you will no longer have access to the WSS Rewards Program’s member benefits and any Points in the Account will be forfeited. 5.5.3 If for 365 consecutive days your active, available Points balance is zero or less, WSS reserves the right to deactivate your Account for inactivity. Once your Account is deactivated, you will no longer have access to the WSS Rewards Program’s member benefits. Please contact Customer Service via the contact information listed in Section 8 below with any questions.

6. LIMITATION OF LIABILITY

WSS will not be liable for any system failure or malfunction of the WSS Rewards Program or any consequences thereof. WSS will not be liable for any loss or damages arising from suspension, variation, termination, or in any other way relating to the WSS Rewards Program, except for any liability which cannot be excluded by law. By participating, you agree that WSS, its parent, subsidiaries, affiliates, and each of their respective officers, directors, employees, and agents shall not be liable to you or any third party for: (a) any damages arising out of your participation in the WSS Rewards Program except to the extent caused by WSS’s intentional misconduct, recklessness, or gross negligence, and (b) any indirect, special, punitive, exemplary, aggravated, incidental or consequential losses or damages, including lost profits, regardless of whether such damages were foreseeable and regardless of whether we were advised of the possibility of such losses or damages. These limitations shall apply to all claims and theories of liability to the fullest extent allowed by applicable law.

7. APPLICABLE LAW

These WSS Membership Terms and Conditions shall be governed by and construed in accordance with the laws of the state of New York in the United States. Any dispute, claim, or controversy arising or relating to these WSS Membership Terms and Conditions and the WSS Rewards Program shall be resolved without any class action by the courts in New York State.
